Fenech & Fenech Advocates has recently set up a Capital Markets team within its Financial Services Department to provide its clients with the necessary expertise to tackle every possible requirement in this high-growth sector. We take pride in being able to offer tailor made advice and solutions to companies wishing to source the market for their financing requirements.

Our team of experienced specialists will partner and support the client at all stages of the Listing process, right from the decision to seek a listing, on to the application stage and the drafting of the necessary documentation, including the Offering Document or Prospectus. We also advise listed companies with regards to compliance with ongoing obligations including issues related to Corporate Governance requirements.

Our in-depth expertise covers a range of securities including Equity and Debt issues, Certificates of Deposits, Derivatives and Securitised instruments.

As a firm, we enjoy an excellent working relationship both with the Malta Financial Services Authority (MFSA), the local authority responsible for the oversight of the capital market in Malta, as well as with the Malta Stock Exchange plc (MSE), the only recognised exchange on the Island. The MFSA, as the Single Regulator for financial services in Malta, is responsible for regulating and supervising the financial services industry in Malta including banking, insurance and investment business.

The MSE, on its part, has today become a very important component in the local financial services industry. Ever since it commenced operations in 1992, the Exchange has consistently and diligently performed its legal responsibilities by providing facilities for the trading, settlement and registration of listed securities to the general public. During this time, the Exchange was always committed to operate within internationally recognised standards and has sought and achieved membership of the most important international organisations in this field. The MSE is, in fact, today internationally regarded as a serious and well-managed regulated institution operating in an EU jurisdiction fully compliant with international regulatory standards and occupying an important niche in the Maltese financial and economic infrastructure.
